1. Acceptance of Terms

By registering for or using the Rivoo Checkout platform ("Service"), you agree to these Terms of Service and our Privacy Policy. If you do not agree, you may not use our Service.

2. Description of Service

Rivoo Checkout is a Shopify checkout extension that provides:

• OTP-based customer verification via WhatsApp.
• Partial COD (Cash on Delivery) advance collection.
• Prepaid discount and pricing rule configuration.
• Merchant dashboard with order analytics and wallet management.
• Integration with Razorpay, Easebuzz, and PayU payment gateways.

3. Merchant Accounts

To use our Service, merchants must:

• Have an active Shopify store.
• Provide accurate and complete registration information.
• Maintain a sufficient wallet balance for fee deductions.
• Keep their account credentials secure and confidential.

Rivoo reserves the right to suspend or terminate accounts that violate these terms.

4. Fees and Billing

Rivoo Checkout charges a platform fee per order processed through the Service. The fee rate is configured per merchant account and deducted automatically from the merchant's pre-paid wallet balance. Merchants are responsible for maintaining a positive wallet balance. Rivoo is not liable for orders that fail to process due to insufficient wallet balance.

5. Payment Processing

Rivoo Checkout facilitates payment processing through third-party gateways (Razorpay, Easebuzz, PayU). Merchants are responsible for compliance with these gateways' terms of service. Rivoo does not store full card details and is not a payment processor.

6. OTP Verification

Our platform uses WhatsApp OTP verification to reduce fraudulent orders. By using our Service, merchants authorize us to send WhatsApp messages to their customers' phone numbers for verification purposes. Customers must have WhatsApp installed and their number registered to receive OTPs.

7. Data Usage

Merchants grant Rivoo a limited license to process customer data (names, phone numbers, addresses, orders) solely to provide the Service. We do not use merchant or customer data for advertising or sell data to third parties. Full details are in our Privacy Policy.

8. Prohibited Activities

Merchants may not:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to circumvent security features or access other merchants' data.
• Use the platform to send spam or unsolicited messages.
• Resell or sublicense the Service without written consent from Rivoo.

9. Service Availability

We strive to maintain 99% uptime but do not guarantee uninterrupted access. We may perform scheduled maintenance with prior notice. Rivoo is not liable for losses due to service unavailability.

10. Limitation of Liability

To the maximum extent permitted by law, Rivoo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue or data, arising from your use of our Service.

11. Indemnification

You agree to indemnify and hold harmless Rivoo and its team from any claims, damages, or expenses arising from your violation of these Terms or misuse of the Service.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the new Terms. We will notify merchants of material changes via email or the Merchant Portal.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of India.
